By using any of our Websites, you agree to fully comply with and be bound by the following Agreement each time you use our Websites. Please review the following terms carefully.

  1. DEFINITIONS

The terms us, we, and our refer to Mysticpreneur Pty Ltd, the owner of this Website. A Visitor is someone who merely browses our Website. A Member is someone who has registered with any of our Membership Websites to use our Services. The term User is a collective identifier that refers to either a Visitor or a Member. The term Product refers to any products we sell or give away. All text, information, graphics, design, and data offered through our Website or Services, whether produced by our Members or by us, are collectively known as our Content. We distinguish content posted by our Members as Member Content.

  1. ACCEPTANCE OF AGREEMENT

This Agreement is between you and Mysticpreneur Pty Ltd.

THIS AGREEMENT CONTAINS WARRANTY DISCLAIMERS AND OTHER PROVISIONS THAT LIMIT OUR LIABILITY TO YOU. PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY AND IN THEIR ENTIRETY, AS USING, ACCESSING, AND/OR BROWSING OUR WEBSITE CONSTITUTES ACCEPTANCE OF THESE TERMS AND CONDITIONS. IF YOU DO NOT AGREE TO BE BOUND TO EACH AND EVERY TERM AND CONDITION SET FORTH HEREIN, PLEASE EXIT OUR WEBSITE IMMEDIATELY AND DO NOT USE, ACCESS, AND/OR BROWSE IT FURTHER.

Except as otherwise noted, this Agreement constitutes the entire and only Agreement between you and Mysticpreneur Pty Ltd and supersedes all other Agreements, representations, warranties, and understandings with respect to our Website, Services, and the subject matter contained herein. However, for you to use our Website and/or Services, you may also be required to agree to additional terms and conditions. Those additional terms and conditions will be incorporated into this Agreement unless otherwise stated.

  1. PRIVACY POLICY

Our Privacy Policy is considered part of this Agreement and is available on this website. You must review our Privacy Policy by clicking on the Privacy Policy link. If you do not accept and agree to be bound by all the terms of this Agreement, including the Privacy Policy, do not use this Website or our Services.

  1. ARBITRATION

Any dispute, controversy, or claim arising out of, relating to, or in connection with this contract, including any question regarding its existence, validity, or termination, shall be resolved by arbitration in accordance with the ACICA Arbitration Rules. The seat of arbitration shall be Melbourne, Victoria, Australia. The language of the arbitration shall be English. The number of arbitrators shall be one.

  1. CHOICE OF LAW

This Agreement will be governed by and construed in accordance with the laws of Victoria, Australia, without regard to conflict of law principles. In addition, you agree to submit to the personal jurisdiction and venue of the courts of Victoria, Australia. Any cause of action by you with respect to our Website or Service must be instituted within one year after the cause of action arose or be forever waived and barred.

  1. LIMITED LICENSE

Mysticpreneur Pty Ltd grants you a nonexclusive, nontransferable, revocable license to access and use our Website and Services strictly in accordance with this Agreement. Your use of our Website and Services is solely for internal, personal, noncommercial purposes unless otherwise provided for in this Agreement. No printout or electronic version of any part of our Website or Services may be used by you in any litigation or arbitration matter whatsoever under any circumstances.

  1. LEGAL COMPLIANCE

You agree to comply with all applicable Australian and international laws, statutes, ordinances, and regulations regarding your use of our Website, Content, Services, and any software provided therein.

  1. OUR RELATIONSHIP TO YOU

This Agreement in no way creates any agency, partnership, joint venture, or employee-employer or franchisor-franchisee relationship between you and Mysticpreneur Pty Ltd.

  1. OUR INTELLECTUAL PROPERTY

Our Website may contain our service marks or trademarks as well as those of our affiliates or other companies in the form of words, graphics, and logos. Your use of our Website or Services does not constitute any right or license for you to use our service marks or trademarks without the prior written permission of Mysticpreneur Pty Ltd.

Our Content, as found within our Website and Services, is protected under the Copyright Act 1968 (Cth) and applicable international copyright laws. The copying, redistribution, use, or publication by you of any such Content is strictly prohibited. Your use of our Website and Services does not grant you any ownership rights to our Content.

  1. ELIGIBILITY AND REGISTRATION FOR MEMBERSHIP

To use our Services, you must register with our Membership Website to become a Member. Your Membership is not transferable or assignable and is void where prohibited. Our Website and Services are intended solely for Users who are at least 18 years of age or older. Any registration by, use of, or access to our Website by anyone under that age is unauthorised, unlicensed, and in violation of these Terms and Conditions. By using our Website and/or Services, you represent and warrant that you are 18 years of age or older and agree to abide by all the terms and conditions of this Agreement. Mysticpreneur Pty Ltd has sole right and discretion to determine whether to accept a Member, and may reject a Member’s registration with or without explanation.

When you complete the registration process, you will receive a password that will allow you to access our Services. You agree to maintain the confidentiality of your password and are fully responsible for all liability and damages resulting from your failure to maintain that confidentiality as well as all activities that occur through the use of your password.

You agree to immediately notify us of any unauthorised use of your password or any other breach of security. You agree that our Website cannot and will not be liable for any loss or damage arising from your failure to comply with password security as discussed herein.

  1. ERRORS, CORRECTIONS, AND CHANGES

We do not represent or otherwise warrant that our Website or Member Website will be error-free or free from viruses or other harmful components, or that we will correct any errors. We do not represent or otherwise warrant that the information available on or through our Website will be correct, accurate, timely, or otherwise reliable.

Mysticpreneur Pty Ltd reserves the right at our sole discretion to change any content, software, and other items used or contained in our Website or Services at any time without notice.

Our Website publishes content supplied by third parties, Users, Advertisers, Merchants, and Sponsors. Accordingly, Mysticpreneur Pty Ltd has no editorial control over such content. Mysticpreneur Pty Ltd is not responsible or liable in any manner for any Content posted on our Website or in connection with our Services, whether posted or caused by Members of our Website, or by Mysticpreneur Pty Ltd. Although we provide rules for Member conduct and postings, we do not control and are not responsible for what Members post, transmit, or share on our Website or Services, and are not responsible for any offensive, inappropriate, obscene, unlawful, or otherwise objectionable content you may encounter using our Website or Services. Mysticpreneur Pty Ltd is not responsible for the online or offline conduct of any User of our Website or Services.

Our Website or Services may be temporarily unavailable from time to time for maintenance or other reasons. Mysticpreneur Pty Ltd assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction, unauthorised access to, or alteration of Member communications.

Mysticpreneur Pty Ltd is not responsible for any technical malfunction or other problems of any telephone network or service, computer system, server or provider, computer or mobile phone equipment, or software, or for any failure of email on account of technical problems or traffic congestion on the Internet, or for any combination thereof including injury or damage to Members or any other person’s computer, mobile phone, or other hardware or software related to or resulting from the use or downloading of materials in connection with our Website or Services.

Under no circumstances will Mysticpreneur Pty Ltd be responsible for any loss or damage, including any loss or damage, personal injury, or death resulting from anyone’s use of our Website or Services, or any interactions between Users of our Website or Services, whether online or offline.

MYSTICPRENEUR PTY LTD’S LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO US FOR WEBSITE AND/OR SERVICES ACCESSED DURING THE PREVIOUS MONTH PRIOR TO THE EVENT GIVING RISE TO LIABILITY.

  1. MEMBER CONDUCT

Members may post their content to our Website through our Services. Members and Visitors understand that by using our Website or Service, they may be exposed to content that is offensive, indecent, or objectionable. We have no control over Member Content and do not in any way guarantee its quality, accuracy, or integrity. Mysticpreneur Pty Ltd is not responsible for the monitoring or filtering of any Member content. Should any Member Content be found illegal, Mysticpreneur Pty Ltd will submit all necessary information to relevant authorities.

If any Member Content is reported to Mysticpreneur Pty Ltd as being offensive or inappropriate, we may ask the Member to retract or otherwise modify the questionable content within 24 hours of being notified. If the Member fails to meet such a request, Mysticpreneur Pty Ltd has full authority to restrict the Member’s ability to post Member Content or to immediately terminate the Member’s membership without further notice.

Members are responsible for complying with all applicable Australian laws for their content, including the Copyright Act 1968 (Cth) and applicable trademark laws.

As a Member, you agree not to upload, post, or otherwise transmit any Member Content that violates any local, state, federal, or international laws; infringes on any patent, trademark, trade secret, copyright, or other proprietary rights of any party; harms, threatens, defames, promotes violence or illegal activities, or is otherwise vulgar, obscene, abusive, harassing, libelous, invasive of another’s privacy, hateful, or racially or ethically objectionable; contains any private information of any third party; contains software viruses or any other computer code designed to interrupt, destroy, or limit the functionality of any computer software, hardware, or telecommunications equipment; or contains any unsolicited or unauthorized advertising, spam, chain letters, or pyramid schemes.

  1. COHORT CONDUCT

All Members are expected to engage respectfully and professionally within all program environments including but not limited to live Zoom sessions, private WhatsApp groups, and any other communication channels associated with the program.

Mysticpreneur Pty Ltd reserves the right to remove any Member from a cohort or program at any time without refund if their conduct is deemed disruptive, disrespectful, harmful, or in breach of these terms. This includes but is not limited to harassment of other Members, sharing of inappropriate content, or repeated violation of program guidelines.

  1. USE OF INFORMATION

You grant Mysticpreneur Pty Ltd a license to use the information and materials you post to our Website. By posting, displaying, transmitting, performing, or otherwise distributing information or other content to our Website, you are granting Mysticpreneur Pty Ltd, its officers, directors, employees, agents, consultants, representatives, and affiliates, a license to use the Member Content in connection with the operation of the business of Mysticpreneur Pty Ltd, including without limitation a right to distribute, copy, transmit, publicly display, reproduce, translate, edit, and reformat Member Content. You understand and agree that you will not be compensated for any Member Content. By posting Member Content on our Website or Service, you warrant and represent that you own the rights to the Member Content or are authorised to post, display, distribute, perform, or transmit Member Content.

  1. UNLAWFUL ACTIVITY

We reserve the right to investigate complaints or reported violations of this Agreement and to take any action we deem appropriate, including but not limited to reporting any suspected unlawful activity to law enforcement officials, regulators, or other third parties and disclosing any information necessary or appropriate to such persons or entities relating to your profile, email addresses, usage history, posted materials, IP addresses, and traffic information.

  1. LINKING TO OUR WEBSITE

You may provide links to our Website provided that you do not remove or obscure any portion of our Website by framing or otherwise, your website does not engage in illegal or pornographic activities, and you cease providing links to our Website immediately upon our request.

  1. LINKS TO OTHER WEBSITES

Our Website may from time to time contain links to third-party websites. Inclusion of links for any website on our Website does not mean that we endorse, guarantee, warrant, or recommend the services, information, content, and/or data of such third-party websites. Mysticpreneur Pty Ltd has no control over the legal documents and privacy practices of third-party websites. You access any third-party websites at your own risk. We recommend that you review the privacy policy and terms and conditions of those websites to fully understand what information is collected and how it is used.

  1. PAYMENTS

You represent and warrant that if you are purchasing something from us, any credit information you supply is true and complete, charges incurred by you will be honoured by your bank or credit card company, you will pay the charges incurred by you at the posted prices including any applicable taxes, and if your initial payment method is dishonoured you will still pay the incurred charges including any surcharge we may incur due to the dishonoured payment.

  1. PRICING AND CURRENCY

All prices listed on our website and sales pages are displayed in United States Dollars (USD). All applicable taxes are included in the price displayed on the payment page at the time of purchase. Mysticpreneur Pty Ltd reserves the right to update pricing at any time. The price displayed at the time of your purchase is the price you will be charged.

  1. ONGOING ACCESS AND ANNUAL RENEWAL FEES

All online programs include 12 months access from the date of purchase. This includes all program content, updates, and supporting materials available during that period.

At the conclusion of the 12 month access period, you will be given the option to continue accessing the program at a reduced annual fee. This fee is not automatically charged. It is an optional renewal that you must actively choose to proceed with.

The current renewal fee for each program is clearly displayed on the relevant sales page under the Frequently Asked Questions section. Mysticpreneur Pty Ltd reserves the right to update renewal pricing at any time. Any pricing changes will be communicated to you prior to your renewal date.

If you choose not to renew, your access to the program will conclude at the end of your 12 month period. No further charges will be applied.

  1. REFUND AND RETURN POLICY

All sales are final. We do not offer refunds on any of our digital programs, self study courses, group coaching, group cohorts, masterminds, bootcamps, or one to one services.

By completing your purchase you confirm that you have read and understood the program description and agree to these terms before buying.

Nothing in this policy excludes your rights under the Australian Consumer Law where those rights cannot lawfully be excluded.

  1. PROGRAM ACCESS AND TECHNICAL REQUIREMENTS

Once your login details have been issued following successful payment, access to the program is your responsibility. Mysticpreneur Pty Ltd is not responsible for any inability to access program content resulting from technical issues on your end including but not limited to incompatible devices, insufficient internet connection, outdated software, or third party platform outages. We recommend ensuring your device and internet connection meet standard requirements before enrolling.

  1. NON TRANSFERABILITY OF ENROLMENTS

Program enrolments are strictly non transferable. Your enrolment is personal to you and may not be transferred, gifted, sold, or assigned to any other individual or entity under any circumstances. Any attempt to transfer an enrolment without the express written permission of Mysticpreneur Pty Ltd will result in immediate termination of access without refund.

  1. CONFIDENTIALITY OF PROGRAM CONTENT

All program content including but not limited to frameworks, AI prompts, Canva templates, video lessons, workbooks, written materials, and any other resources provided within a Mysticpreneur Pty Ltd program are the exclusive intellectual property of Mysticpreneur Pty Ltd.

Members are strictly prohibited from sharing, reproducing, distributing, reselling, or using any program content outside of their personal use within the program. This includes but is not limited to sharing content with non members, publishing content publicly, using content in your own programs or products, or adapting content for commercial purposes.

Any breach of this clause will result in immediate termination of program access without refund and may result in legal action under the Copyright Act 1968 (Cth).

  1. PRIVATE COMMUNITY AND WHATSAPP GROUP POLICY

Some of our programs include access to a private WhatsApp group for the duration of the program cohort. This group exists solely for the purpose of daily communication, discussion, questions, and program updates between Members and Mysticpreneur Pty Ltd.

By joining any private WhatsApp group associated with a Mysticpreneur Pty Ltd program, you agree to the following. All conversations, content, questions, responses, and information shared within the group are strictly confidential. Nothing shared within the group may be copied, screenshotted, recorded, redistributed, published, or used in any public forum or for any commercial purpose by any Member or by Mysticpreneur Pty Ltd.

Personal information, business information, and intellectual property shared by Members within the group remains the property of the individual who shared it. No Member may use another Member’s information, ideas, strategies, or content for personal or commercial gain.

Mysticpreneur Pty Ltd will not use information shared within private WhatsApp groups for any purpose other than direct program communication and support.

Any Member found to be in breach of this policy will have their group access revoked immediately and may be removed from the program without refund.

By accepting your invitation to join a private WhatsApp group you confirm that you have read, understood, and agree to these terms.

  1. ZOOM CALLS AND RECORDING POLICY

All cohort sessions are conducted via Zoom. These sessions are recorded by Mysticpreneur Pty Ltd for the sole purpose of providing Members with access to session replays through the online program portal.

Zoom recordings are strictly private. They are not public videos and are not to be shared, distributed, published, or made accessible to any person outside of the enrolled cohort.

All Zoom session recordings are available within the online program portal for a period of 12 months from the date of the session. Upon reaching the 12 month mark, all recordings are permanently deleted and cannot be recovered or requested.

Members are strictly prohibited from recording any Zoom session by any means, including but not limited to screen recording software, AI recording tools, transcription tools, note taking applications, or any other technology designed to capture audio, video, or written content from a live session.

Any Member found to be recording a Zoom session without explicit written permission from Mysticpreneur Pty Ltd will have their program access revoked immediately without refund and may be subject to legal action under the Privacy Act 1988 (Cth) and applicable Victorian laws.

By enrolling in any program that includes live Zoom sessions, you confirm that you have read, understood, and agree to these terms.

  1. SCREENSHOTS AND SOCIAL SHARING

Members are encouraged to share their own personal results and wins from participating in a Mysticpreneur Pty Ltd program on social media and other public platforms.

However, Members are strictly prohibited from sharing screenshots, recordings, photographs, or any reproduction of program content, including but not limited to frameworks, AI prompts, Canva templates, video lessons, Zoom session recordings, or WhatsApp group conversations, in any public forum or for any commercial purpose.

If you wish to reference program content publicly please contact support@maryhendersoncoaching.com to request written permission before doing so.

  1. EMAIL COMMUNICATIONS

By purchasing any program or product from Mysticpreneur Pty Ltd you consent to receiving email communications related to your program, program updates, and other relevant offers from Mysticpreneur Pty Ltd.

All email communications will be sent in compliance with the Australian Spam Act 2003. You may unsubscribe from marketing communications at any time by clicking the unsubscribe link in any email. Please note that transactional emails related to your program access and account cannot be unsubscribed from as they are necessary for the delivery of your program.

  1. ONE TO ONE ENGAGEMENT AND IN PERSON SERVICES

All one to one engagements are conducted online via video call unless otherwise agreed in writing between the client and Mysticpreneur Pty Ltd prior to payment.

If a client requests in person attendance at their physical location or requires Mary Henderson to travel for the purpose of delivering services, all associated travel costs, accommodation, and related expenses will be negotiated and agreed upon in writing with the client before any payment is processed. These costs are entirely separate from and in addition to the fee for the service itself.

Mysticpreneur Pty Ltd reserves the right to decline any request for in person attendance at its sole discretion.

  1. WAITLISTS

From time to time, Mysticpreneur Pty Ltd may operate a waitlist for programs, including The IncubAItor.

Joining a waitlist does not guarantee enrolment in a program. It indicates your expression of interest only. Mysticpreneur Pty Ltd reserves the right to open or close enrolment at any time and to determine eligibility for enrolment at its sole discretion.

Being on a waitlist does not constitute a binding agreement between you and Mysticpreneur Pty Ltd, and no payment is required or implied by joining a waitlist unless explicitly stated.

  1. PROGRAM CHANGES

Mysticpreneur Pty Ltd reserves the right to modify, update, or restructure program content, delivery format, cohort sizes, session dates, and supporting materials at any time.

Any changes made will be communicated to enrolled Members as soon as reasonably practicable. All changes will be made with the intention of maintaining or improving the quality and outcome of the program.

In the event of a significant change to a program that materially affects its delivery, enrolled Members will be notified in writing and offered a suitable alternative where reasonably possible.

Mysticpreneur Pty Ltd does not guarantee that any specific guest contributors, tools, platforms, or third party resources referenced in a program will remain available for the duration of the program.

  1. TESTIMONIALS AND CASE STUDIES

Mysticpreneur Pty Ltd may from time to time feature client testimonials, case studies, results, and quotes in our marketing materials, website, social media, and program content.

By submitting a testimonial or participating in a case study you grant Mysticpreneur Pty Ltd a non exclusive, royalty free, perpetual license to use your name, business name, likeness, and words in our marketing materials across any medium.

All testimonials and case studies represent the individual experience of that client. Results shared are not typical and are not a guarantee that you or any other client will achieve the same or similar outcomes. Individual results will vary depending on experience, effort, commitment, and a range of other factors outside the control of Mysticpreneur Pty Ltd.

  1. DISPUTE RESOLUTION TIMELINE

Any dispute arising from your purchase or participation in a Mysticpreneur Pty Ltd program must be raised in writing to support@maryhendersoncoaching.com within 30 days of the issue arising. Disputes raised outside of this timeframe will not be considered. All disputes will be handled in accordance with the arbitration clause outlined in this Agreement.

  1. FORCE MAJEURE

Mysticpreneur Pty Ltd will not be held liable for any failure or delay in delivering program content or services where such failure or delay results from circumstances beyond our reasonable control. This includes but is not limited to illness, injury, technical failure, third party platform outages, natural disaster, government restrictions, or any other event outside our reasonable control. In such circumstances, Mysticpreneur Pty Ltd will endeavour to reschedule or provide alternative access to program content where reasonably possible.

  1. TERMINATION OF MEMBERSHIP

Your membership with us is effective until terminated by you or us. Your rights under these Terms and Conditions will terminate without our notice if you fail to comply with any term of these Terms and Conditions. Upon termination, you will stop representing yourself as a registered Member or Client. You must delete or destroy any information or content, including all copies obtained from our Website. Certain provisions of this Agreement, including but not limited to copyrights, indemnity, trademarks, limitation of liability, warranty, and jurisdictional issues, will survive the termination of this Agreement.

  1. INDEMNIFICATION

You agree to indemnify, defend, and hold us and our partners, agents, officers, directors, employees, subcontractors, successors, assigns, third-party suppliers of information and documents, attorneys, advertisers, product and service providers, and affiliates free from any liability, loss, claim, and expense, including reasonable legal fees, related to your violation of this Agreement or use of our Website or Services.

  1. SEVERABILITY AND SURVIVAL

Should any part of this Agreement be held invalid or unenforceable, that portion will be construed consistent with applicable law, and the remaining portions will remain in full force and effect. To the extent that any Content is in conflict or inconsistent with this Agreement, this Agreement will take precedence.
